01 Agreement to These Terms
These Terms of Service ("Terms") are a legal agreement between you and Zarp Studio LLC ("Zarp Studio," "Company," "we," "us," or "our"), a company based in Orlando, Florida. They govern your use of www.zarpstudio.com, ZarpOS and the Contractor Portal, our other platform products and applications, and every marketing, website, advertising, automation, and related service we provide (together, the "Services").
By visiting the website, submitting a form, creating an account, signing in to the Contractor Portal, accepting a proposal, or paying for any Service, you confirm that you have read and agree to these Terms and to our Privacy Policy. Clicking a button to submit a form, accept a proposal, or complete a payment is your electronic signature and has the same effect as a handwritten one. If you do not agree, please do not use the Services.
If you use the Services on behalf of a business, you confirm that you are authorized to accept these Terms for that business, and "you" includes that business.
These Terms include a binding individual arbitration agreement and a waiver of class actions and jury trials (Section 24), and they limit our liability (Section 21). Please read them carefully.
02 Our Services
Zarp Studio helps home service businesses grow. Depending on the plan, proposal, or agreement you accept, the Services may include:
- Websites, from standard builds on our proven framework to fully custom builds, and landing pages
- Local SEO and Google Business Profile management
- GEO (generative engine optimization), to improve visibility in AI search tools and AI-generated answers
- Pay-per-click advertising, including Google Ads and Local Service Ads
- Meta Ads on Facebook and Instagram
- CRM setup, and email and SMS follow-up automations
- Copywriting, creative, and video editing
- ZarpOS and our other software products, described in Section 11
The scope, deliverables, price, and term of a paid engagement are described in the proposal, plan, order form, invoice, or service agreement you accept (each, an "Order"). These Terms apply to every Order. If a signed Order expressly conflicts with these Terms, the signed Order controls for that engagement only.
Zarp Studio is an independent company. We are not affiliated with, endorsed by, or acting on behalf of Google, Meta, or any other platform we work with, unless we expressly say so in writing.
03 Eligibility and Accounts
The Services are intended for businesses and adults. By using them, you confirm that you are at least 18 years old and able to enter into a binding agreement.
You also agree that:
- The information you give us (such as your business name, contact and billing details, licenses, services, and service area) is accurate and kept up to date.
- You will keep your Contractor Portal credentials confidential and are responsible for all activity under your account, including activity by team members you invite.
- Access is for you and the people you authorize. You will not sell, share, or transfer account access outside your business.
- You will not impersonate another person or business or use the Services for any unlawful purpose.
Tell us right away at [email protected] if you believe your account has been used without permission.
04 How We Deliver the Services
You hire Zarp Studio for our expertise. To the maximum extent permitted by applicable law, you consent to, and grant us, the broadest discretion permitted by law over how every Service is delivered, including:
- Strategy, tactics, priorities, and the order in which work is done
- The vendors, tools, software, and platforms we use, including artificial intelligence tools
- Timelines, schedules, and the team members assigned to your account
- Creative, copy, and design, and the content and structure of your website and landing pages
- How your advertising budget is allocated across campaigns, platforms, keywords, audiences, and ads, within the total budget you approve
- SEO and GEO methods, and how your CRM, automations, and campaigns are set up
- The features, design, and operation of ZarpOS, the Contractor Portal, and our other software
We consider your goals and feedback, and you approve the items your Order says need your approval. Unless your Order expressly says otherwise, how the work is carried out is our decision, and a difference of opinion about methods, tools, vendors, or creative is not a breach of these Terms or a reason to withhold payment.
To the maximum extent permitted by applicable law, we may modify, suspend, discontinue, re-price, or replace any Service, feature, plan, or deliverable at any time, as described in Section 27.
05 Orders, Onboarding, and Timelines
Work begins after you accept an Order, pay any amount due at the start, and give us the access, content, and information we need. Timelines we share are good-faith estimates, not guarantees, and they move when approvals, content, or access are delayed.
- Requests outside the scope of your Order (such as extra pages, new campaigns, additional locations, or new integrations) are change requests. We may decline them or quote them separately, and they are not included until we accept them in writing.
- Revision rounds, where included, are described in your Order. A deliverable is approved when you approve it, when you publish or use it, or when 10 business days pass after we deliver it without written feedback from you.
- We may pause work while we wait on approvals, content, access, or payment from you. Paused time does not reduce the fees due under your Order.
06 Pricing, Billing, and Payment
Prices are in U.S. dollars. Prices on our website are starting prices; the price that applies to you is the one in your Order. Applicable taxes are your responsibility.
- Monthly plans are billed in advance each month, starting on the date in your Order, until the plan ends or is cancelled under Section 7.
- Website fees may be split into 12 monthly payments. The installment option is a way to pay the full website fee, not a monthly subscription: the full fee is owed once the project starts, and any remaining installments become due as described in Section 7.
- Unless your Order says otherwise, advertising spend (for example, on Google Ads, Local Service Ads, or Meta) is paid by you directly to the advertising platform and is separate from our fees.
- Third-party costs, such as domain names, premium software, plugins, stock media, and paid tools, are your responsibility unless your Order includes them.
- By providing a payment method, you authorize us and our payment processors to charge it for all amounts due under your Order, including recurring charges, until the Order ends. You confirm that you are authorized to use that payment method.
- If a payment is late or fails, we may pause or suspend any or all Services, including websites we host, campaigns, automations, and Contractor Portal access, until the balance is paid.
To the maximum extent permitted by applicable law, we may change our prices at any time, including for active plans. A price change for an active plan applies from the next billing period after it takes effect. We may tell you about it by email, in the Contractor Portal, on an invoice, or by posting it, as we choose. Continuing to use the Services after a price change takes effect means you accept it.
Disputing a valid charge with your bank (a chargeback) instead of contacting us first violates these Terms and may result in immediate suspension of the Services, plus any collection costs allowed by law.
07 Term, Cancellation, and Refunds
Each Order runs for the term stated in it. If your Order has a minimum term, you agree to pay for the full minimum term, even if you stop using the Services early.
- After any minimum term, monthly plans continue month to month until either party cancels with at least 30 days' written notice.
- Cancelling a monthly plan does not cancel the balance of a website fee. If an Order ends before all website installments are paid, the remaining installments become due immediately.
- Setup, onboarding, and strategy fees, and fees for work already performed or billing periods already started, are non-refundable.
- Advertising spend paid to platforms is controlled by those platforms and cannot be refunded by us.
Unless your signed Order or applicable law says otherwise, all fees are non-refundable.
We may review refund requests case by case, at our sole discretion. Approved refunds are issued to the original payment method.
When an engagement ends
- We stop work at the end of the paid period and may remove our access to your accounts.
- Advertising, Google Business Profile, and analytics accounts held in your business's name remain yours.
- Once all amounts due are paid, we will provide, on request, the final deliverables you own under Section 14 in a reasonable format, and help transfer accounts and domains we hold for you under Section 9.
- Hosting, ZarpOS features, automations, and other software we provide stop at the end of the engagement unless we agree otherwise in writing.
08 Your Responsibilities
You are responsible for your business, the materials you give us, and your own legal and regulatory obligations. You agree to:
- Provide accurate and lawful information about your business, services, pricing, licenses, insurance, warranties, and service area, and tell us when it changes
- Supply content, photos, footage, approvals, and feedback on time
- Review content, ads, listings, and pages before or promptly after they go live, and tell us right away about any error
- Make sure your business, your offers, and your advertising comply with the laws, licensing rules, and platform policies that apply to you, including any rules on displaying license numbers or making claims about your services
- Obtain every consent required to contact your own customers and leads, including for calls, emails, and text messages sent through automations, CRM tools, or ZarpOS, and honor opt-out requests (for example, under the Telephone Consumer Protection Act and the CAN-SPAM Act)
- Have the rights to every logo, photo, video, text, review, and other material you give us, and allow us to use them to deliver the Services
- Answer leads and calls promptly. We help generate opportunities; turning them into jobs is up to you
To the maximum extent permitted by applicable law, we are not responsible for delays, rejected ads, suspended accounts, penalties, or claims caused by information or materials you provide, by content you approve, or by your business practices.
09 Account Access and Third-Party Platforms
Many Services run on platforms we do not own, such as Google Business Profile, Google Ads, Local Service Ads, Google Search Console, Meta, domain registrars, hosting providers, and CRM, email, and messaging tools. You agree that:
- You will give us the access we need, preferably by adding us as a user instead of sharing passwords, and keep it in place while the Services run.
- We may create, configure, and manage accounts, campaigns, listings, tags, and integrations on your behalf, and act in them as your authorized agent for the Services.
- Advertising and listing accounts should be held in your business's name. If we create one for you, we will transfer it to you at the end of the engagement once all amounts due are paid, where the platform allows it.
- Platforms set their own rules and may change algorithms, rankings, policies, prices, ad approvals, and verification requirements (such as Local Service Ads screening), or restrict or suspend accounts, at any time. We are not responsible for those decisions or their effects.
- Removing our access or changing account settings yourself may interrupt the Services and does not reduce the fees due under your Order.
10 Websites and Hosting
For website projects:
- Standard websites are built on our proven framework and branded with your colors, content, and photos; custom websites are designed for your brand. The pages, features, and structure included are those in your Order, decided as described in Section 4.
- We may launch, update, and optimize pages as part of ongoing SEO, GEO, or advertising Services.
- Where we host or maintain your website, it may be unavailable at times for maintenance, updates, or reasons outside our control, and we may change the hosting provider or technology at our discretion.
- Changes made to the website by you or by third parties, and any problems they cause, are not covered by the Services.
- Third-party components, such as fonts, plugins, code libraries, and stock media, are licensed under their own terms.
- Domain names should be registered in your business's name. Domains we register for you are transferred to you on request once all amounts due are paid.
11 ZarpOS and Platform Products
ZarpOS is our operating system for contractors, available through the Contractor Portal at www.zarpstudio.com. Depending on your plan, ZarpOS and our other platform products may include project tracking, finances, invoices and online payments, a CRM for website leads, SEO and ads management, email marketing and SMS, our CMS Blog, and online Scheduling. By using them, you agree that:
- We grant you a limited, non-exclusive, non-transferable, revocable right to use the software for your internal business purposes while your plan is active.
- Features, layouts, limits, integrations, and pricing may change at any time. Features labeled "beta," "new," or "coming soon" (such as the AI Voice Receptionist) are offered as they are, may change or be withdrawn, and may never be released.
- ZarpOS Agent and the other AI features of ZarpOS are experimental technology governed by the ZarpOS Agent End User License Agreement(the "EULA"), which is part of these Terms. You are always responsible for everything ZarpOS Agent does with your access, including the actions you approve.
- The software may be unavailable at times for maintenance, updates, or reasons outside our control. You are responsible for a compatible device, browser, and internet connection.
- Online payments are processed by third-party payment processors under their own terms. We are not a bank or a payment processor and are not responsible for payment holds, fees, reversals, chargebacks, or disputes between you and your customers.
- Emails and text messages you send through ZarpOS are your messages. You are responsible for their content, for having consent to send them, and for honoring opt-outs. We may block or suspend sending that may violate the law, carrier or platform rules, or these Terms.
- You own the information about your business and your customers that you put into ZarpOS ("Client Data"). You grant us permission to host, process, and use Client Data to provide, secure, support, and improve the Services, as described in our Privacy Policy. Client Data that is Confidential Information is protected under Section 15.
- Keep your own copies of records that matter to you. To the maximum extent permitted by applicable law, we are not liable for lost, corrupted, or inaccurate data, reports, or records.
- You may not copy, resell, sublicense, reverse-engineer, or scrape the software, build a competing product from it, or bypass its security or usage limits.
12 AI-Assisted Services
We use artificial intelligence tools, including our own AI agents, to help research, draft, build, analyze, and report on the Services. You consent to this use. AI-generated output can be inaccurate or incomplete; our team guides the work, but you should review content about your business before relying on it.
GEO work aims to improve how your business appears in AI search tools and AI-generated answers, but those tools are owned and controlled by third parties, which decide what they show. AI features we offer to you directly (such as an AI receptionist, when available) may misunderstand people or make mistakes, and you are responsible for any notices or consents the law requires for recorded, transcribed, or automated calls and messages.
ZarpOS Agent, including chat, voice, camera and screen sharing, and any action it takes with your access, is experimental technology provided as it is under the ZarpOS Agent End User License Agreement. You are always responsible for what you instruct, approve, send, or change through it, for reviewing its output before you rely on it, and for obtaining every notice and consent the law requires from people whose voice, image, or information you capture or share with it.
13 No Guarantee of Results
We work hard to grow your business, but results depend on many factors outside our control, including your market, competition, budget, reviews, pricing, how quickly you answer leads, and decisions made by Google, Meta, AI search engines, wireless carriers, payment processors, and other third parties, which can change their systems and rules at any time.
We do not guarantee any specific result, including rankings, traffic, leads, calls, booked jobs, visibility in AI search tools or AI-generated answers, ad performance, cost per lead, revenue, or return on investment.
Forecasts, estimates, and projections we share are opinions based on the information available at the time, not promises. Testimonials, case studies, and results shown on our website reflect the experiences of individual clients and are not a promise of the results you will achieve.
General information
Blog articles, guides, reports, and other content we publish are general information about marketing. They are not legal, tax, accounting, or other professional advice.
14 Intellectual Property
The website, ZarpOS and our other software, our brand, and our frameworks, templates, processes, code, tools, and know-how ("Zarp Materials") are owned by or licensed to Zarp Studio LLC and are protected by copyright, trademark, and other laws. Nothing in these Terms transfers Zarp Materials to you.
Your deliverables
Once all amounts due under the related Order are paid in full, you own the final deliverables we created specifically for you, such as your website's custom design and content, ad copy, and edited videos, except for Zarp Materials and third-party components they contain. You receive a non-exclusive, perpetual license to use the Zarp Materials embedded in your deliverables, only as part of those deliverables. Until full payment, we own the deliverables and you have a limited, revocable license to use them.
Your materials
You keep ownership of your logos, photos, footage, and other materials. You grant us a non-exclusive, royalty-free license to use, copy, edit, and publish them as needed to provide the Services.
Portfolio and feedback
We may show your business name, logo, and the work we did for you, with general results, in our portfolio, case studies, and marketing, unless you ask us in writing not to. We never disclose your Confidential Information this way. Ideas or feedback you share about the Services may be used by us without any obligation to you.
Unauthorized use of Zarp Materials may result in suspension of the Services and legal action.
15 Confidentiality
"Confidential Information" means non-public information that one party shares with the other in connection with the Services and that is marked as confidential or that a reasonable person would understand to be confidential. For our clients, it includes:
- Trade secrets, know-how, and proprietary methods
- Patents, patent applications, inventions, and unpublished designs
- Operational information, such as pricing, margins, suppliers, crews and capacity, and business plans
- Financial information, including revenue and costs and the financial, project, invoice, and payment records you keep in ZarpOS or the Contractor Portal
- Customer lists, Client Data, and account credentials
For us, it includes our non-public pricing, proposals, processes, and frameworks, and the non-public features, code, and plans of ZarpOS and our other software.
How we protect your Confidential Information
We keep your Confidential Information confidential, protect it with commercially reasonable measures (and no less care than we use for our own similar information), and use it only to provide, secure, and support the Services for you. We share it only with our team members, contractors, service providers, and professional advisers who need it for those purposes and are bound by confidentiality obligations, and with platforms as needed to perform the Services you requested.
Your Confidential Information is excluded from the contact and marketing information we may share with marketing and business partners under our Privacy Policy.
You agree to keep our Confidential Information confidential in the same way and use it only to evaluate and use the Services. We may use aggregated and de-identified information derived from the Services, which does not identify you or your customers, to operate and improve our Services.
Exceptions
Confidentiality obligations do not apply to information that:
- Is or becomes public through no fault of the receiving party
- The receiving party already knew without a duty of confidentiality
- The receiving party develops independently, without using the other party's Confidential Information
- The receiving party lawfully receives from a third party without a duty of confidentiality
A party may disclose Confidential Information when required by law, regulation, subpoena, or court order, if it gives the other party prompt notice where legally permitted, so it can seek protection, and discloses only what is required.
Duration
These obligations continue during the engagement and for 3 years after it ends, and for trade secrets, for as long as they remain trade secrets under applicable law. On written request after an engagement ends, we will delete or return your Confidential Information within a reasonable time, except copies we must keep by law or that remain in backups or business records, which stay protected under this section. If we sign a separate non-disclosure agreement with you, which we can do on request, it controls where it conflicts with this section.
16 Prohibited Activities
When using the Services, you may not:
- Use the Services for anything illegal, deceptive, or harmful, including false or misleading advertising
- Ask us to create fake reviews, fake listings, or false claims about licenses, insurance, credentials, or results
- Send spam, or calls or messages without the consent the law requires
- Attempt to access accounts, systems, or data you are not authorized to use
- Interfere with the security or performance of the website or software, including through bots, scrapers, or malicious code
- Harass, threaten, or abuse our team members
- Make false or misleading statements about the Company
Violations may lead to immediate suspension or termination without a refund.
17 Communications and Text Messages
When you give us your email address or phone number, you agree that we may contact you by email, phone call, text message, or WhatsApp about your inquiry, proposal, account, projects, reports, and billing. You also agree to receive notices from us electronically, including in the Contractor Portal.
Marketing text messages are sent only with your consent, and consent is never a condition of purchase. You can opt out of marketing at any time by clicking "unsubscribe" in an email, replying STOP to a text message, or contacting us. Message and data rates may apply.
Marketing and business partners
As described in our Privacy Policy, you authorize us to share and exchange your contact and marketing information with our marketing and business partners, who may use it to offer you their own products and services. You can withdraw this authorization at any time, going forward, by writing to [email protected]. This sharing never includes the text messaging information described below or your Confidential Information.
Text messaging (SMS) program
The Zarp Studio text messaging program sends messages to the mobile number you give us on our website forms, during onboarding, or in the Contractor Portal. By giving us your mobile number, you agree to receive:
- Replies and follow-up about your inquiry or request for a proposal
- Confirmations and reminders for calls and meetings
- Account, project, report, and billing notifications, if you are a client
- Promotional messages about our services, only if you agree to receive them
- Message frequency varies.
- Message and data rates may apply.
- Consent to receive text messages is not a condition of purchase.
- Reply STOP at any time to stop receiving text messages. We will send one message confirming that you are unsubscribed, and no more after that unless you sign up again.
- Reply HELP for help, or contact us at +1 (321) 333-2825 or [email protected].
- Wireless carriers are not liable for delayed or undelivered messages.
Your mobile information
Mobile phone numbers, text messaging opt-in data, and consent collected for this program are not shared with third parties or affiliates for their marketing or promotional purposes. We share them only with the service providers that deliver our text messages, such as messaging platforms, aggregators, and carriers, and only to deliver them. Our Privacy Policy explains how we handle your information.
Text messages your business sends to its own customers through ZarpOS or automations we set up for you are your messages, governed by Section 8 and Section 11, not by this program.
18 Referral Partner Program
Our Referral Partner Program pays partners a commission for referring home service businesses that become Zarp Studio clients. The commission rate and conditions are those published on the Referral Partner page or agreed with you in writing. Unless we agree otherwise in writing:
- A referral qualifies only if the business was not already in contact with us, is introduced through the process we provide, signs an Order, and pays.
- Commissions are calculated on amounts we actually receive from the referred client, excluding taxes, advertising spend, and third-party costs, and are paid after we receive them. Refunded, disputed, or unpaid amounts do not earn commission and may be deducted from later payouts.
- Partners are independent. They are not our employees or agents, cannot make promises or offers on our behalf, and are responsible for their own taxes. We may require tax information before paying.
- Partners must follow these Terms and every law that applies to their outreach, including laws on spam, calls, and text messages, and may not use our brand in ads or in misleading ways.
- We decide whether a referral qualifies, and we may change, suspend, or end the program at any time. Commissions earned before a change remain payable under the rules in effect when they were earned. Fraud or a violation of these Terms forfeits unpaid commissions.
19 Third-Party Services
The Services rely on and link to third-party services, such as Google, Meta, website hosting providers, domain registrars, payment processors, CRM, email, and messaging tools, AI providers, and WhatsApp. Your use of those services is governed by their own terms and privacy policies, and we are not responsible for their content, availability, fees, or decisions. We may add, change, or replace the third-party services we use at any time.
20 Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Services, the website, ZarpOS, and all deliverables are provided "as is" and "as available," with all faults and without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and accuracy, and any warranties arising from a course of dealing or usage of trade.
We do not warrant that the Services will be uninterrupted, timely, secure, or error-free, that defects will be corrected, that data will not be lost, or that the Services will achieve any particular result. No advice or information from us, oral or written, creates a warranty not expressly stated in these Terms.
21 Limitation of Liability
To the maximum extent permitted by applicable law, Zarp Studio LLC and its owners, members, managers, employees, contractors, and partners will not be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages, or for any lost profits, revenue, leads, jobs, or business opportunities, lost rankings or traffic, restricted or suspended ad or listing accounts, wasted advertising spend, lost or corrupted data, or failures of third-party services, however caused and under any theory of liability, even if we were told such damages were possible.
To the maximum extent permitted by applicable law, our total liability for all claims related to the Services or these Terms, combined, will not exceed the lesser of (a) the fees you actually paid to Zarp Studio LLC in the 3 months before the event giving rise to the claim, or (b) US$100.
If you are dissatisfied with the Services, your sole and exclusive remedy is to stop using them and cancel under Section 7. These limits apply even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, so some of them may not apply to you.
22 Indemnification
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Zarp Studio LLCand its owners, members, managers, employees, contractors, and partners from any claims, damages, losses, penalties, fines, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use of the Services
- The content, materials, and information you provide or approve, including claims about your own services, prices, licenses, insurance, and warranties
- Your products, services, and work for your customers, and your licensing and regulatory obligations
- Calls, emails, and text messages sent to your customers or leads, including compliance with the Telephone Consumer Protection Act and other consumer protection laws
- Data you upload to or collect through ZarpOS, and payments between you and your customers
- Your violation of these Terms, a platform policy, or any law, or of anyone else's rights
- Your outreach as a referral partner, if you are one
23 Suspension and Termination
To the maximum extent permitted by applicable law, we may suspend or end your access to all or part of the Services at any time and at our discretion, including for:
- Violating these Terms or an Order
- Non-payment, late payment, or chargebacks
- Conduct that is abusive, illegal, or harmful to us, our team, platforms, or others
- Requests from a platform, carrier, or authority, or risks to the security of our systems
No refund is provided when the Services end because of a violation of these Terms or non-payment, and all amounts due under your Orders, including any remaining website installments and minimum-term fees, become payable immediately.
We may also end an Order for any other reason by notifying you. In that case, you pay only for the Services provided up to the end date.
Sections that by their nature should survive termination, including payment obligations, intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, and dispute resolution, remain in effect.
24 Governing Law, Arbitration, and Disputes
These Terms and any dispute related to them or to the Services are governed by the laws of the State of Florida and applicable U.S. federal law, without regard to conflict-of-law rules. The exclusive venue for every dispute, whether in arbitration or in court, is Orange County, Florida.
Before starting a formal dispute, you agree to contact us so we can try to resolve the issue informally. If we cannot resolve it within 30 days, any dispute arising from or related to these Terms or the Services will be resolved by binding individual arbitration held in Orange County, Florida, under the rules of the American Arbitration Association (AAA).
- The arbitrator decides all questions about the scope, validity, and enforceability of this arbitration agreement.
- Claims may be brought only on an individual basis. You and we waive the right to a jury trial and to take part in any class, collective, consolidated, or representative action.
- Either party may bring an individual claim in the small claims court of Orange County, Florida, if it qualifies.
- We may seek injunctive or other equitable relief in court to protect our intellectual property, confidential information, systems, or payment rights.
- If arbitration does not apply for any reason, disputes must be brought exclusively in the state courts located in Orange County, Florida, or the United States District Court for the Middle District of Florida, Orlando Division. You consent to the personal jurisdiction of those courts, waive any objection to venue there, and waive any right to a jury trial.
Any claim related to these Terms or the Services must be filed within one (1) year after it arises, or it is permanently barred, to the maximum extent permitted by applicable law.
25 Force Majeure
We are not responsible for delays or failures caused by events outside our reasonable control, such as hurricanes and severe weather, natural disasters, pandemics, power or internet outages, failures or changes of platforms, hosting, carriers, or other third-party services, cyberattacks, labor shortages, or government actions. Our obligations are suspended for as long as the event lasts.
26 Privacy
Our Privacy Policy explains how we collect, use, share, and protect personal information, and it is part of these Terms.
27 Changes to the Services and These Terms
To the maximum extent permitted by applicable law, we may modify, suspend, discontinue, re-price, or replace any Service, feature, plan, or part of ZarpOS at any time, with or without notice.
We may also update these Terms at any time. Changes take effect when posted on this page, and the "Last updated" date at the top shows when they last changed. We may also tell you about changes by email, in the Contractor Portal, or by other means, at our discretion. Changes do not apply retroactively to payments already completed.
Continuing to use the Services after a change takes effect means you accept it. If you do not agree to a change, your only remedy is to stop using the Services and cancel under Section 7.
28 General Terms
- These Terms, together with the Privacy Policy and your Orders, are the entire agreement between you and us about the Services and replace any earlier proposals, discussions, or understandings.
- You confirm that you have not relied on any statement, promise, forecast, or representation that is not included in these Terms or your Orders, including statements made on sales calls or in marketing materials.
- If any provision is found unenforceable, it will be enforced to the maximum extent permitted, and the rest of these Terms remains in effect.
- Our failure or delay in enforcing a provision is not a waiver of our right to do so later.
- You may not transfer your rights or obligations under these Terms without our written consent. We may transfer ours freely, for example to an affiliate or in a merger, acquisition, or sale of assets.
- We are independent contractors. Nothing in these Terms creates a partnership, joint venture, employment, or franchise relationship, or any agency relationship beyond the limited authority described in Section 9.
- Notices to us must be sent to [email protected]. We may send notices to the email address on your account or Order, or through the Contractor Portal.
- Headings are for convenience only and do not affect interpretation. The words "including" and "such as" mean "including without limitation."
