ZarpOS Agent End User License Agreement

This End User License Agreement ("EULA") is a legal agreement between you and Zarp Studio LLC ("Zarp Studio," "we," "us," or "our"). It governs your use of ZarpOS Agent and the other artificial intelligence features of ZarpOS, including chat, voice input and spoken replies, camera and screen sharing, and any action the agent takes in ZarpOS with your access (together, the "Agent").

This EULA is part of our Terms of Service and applies in addition to them. If this EULA and the Terms of Service conflict about the Agent, this EULA controls. Words defined in the Terms of Service have the same meaning here.

You accept this EULA by checking the acceptance boxes and confirming in ZarpOS, or by using the Agent. Your acceptance is recorded with this version (2026-10-26), the date and time, your account, the company, and your IP address and browser, and it is your electronic signature. If you use the Agent for a business, you confirm that you are authorized to accept this EULA for that business, and "you" includes that business. If you do not agree, do not use the Agent.

This EULA makes you responsible for everything the Agent does with your access (Section 4), disclaims warranties (Section 13), limits our liability (Section 14), and includes the binding individual arbitration agreement and class action waiver of the Terms of Service (Section 17). Please read it carefully.

• The Agent is offered as a preview. There is no service level, uptime, accuracy, or response-time commitment for it, even if you pay for credits or a plan that includes it.
• We may change, limit, pause, re-price, or withdraw the Agent, any of its features, models, voices, or tools, or any data it produced, at any time and without notice.
• Features of the Agent may be turned off for some companies, users, or regions, and may never become generally available.
• Artificial intelligence is new and evolving technology. Mistakes are an expected part of using it, not a defect we must fix.

While your plan is active and you comply with this EULA, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Agent inside ZarpOS for the internal business purposes of the company you use it for. All rights not expressly granted are reserved by Zarp Studio and its licensors.

You may not, and you may not help anyone else:

• Copy, sell, resell, rent, sublicense, or provide the Agent to anyone outside your company, or use it to build or train a competing product or model.
• Reverse engineer, decompile, or try to extract the Agent's prompts, instructions, models, weights, safeguards, or source code, except where the law expressly allows it despite this restriction.
• Bypass, disable, or test the Agent's safeguards, approvals, permission checks, rate limits, or usage limits, including through prompt injection or jailbreaking, unless we invite you in writing to do so.
• Use automated means to access the Agent other than the interfaces we provide, or use it in a way that harms ZarpOS, other customers, or our providers.

In particular, you are responsible for:

• The instructions, files, images, audio, and other content you give the Agent, and having every right and consent needed to give them.
• Reviewing the Agent's output and actions before you rely on them, and checking them against your own records.
• Every action you approve. Approving an action in the Agent is your own instruction to perform it.
• Your customers, employees, and other people affected by what the Agent does for you, and complying with every law, regulation, and platform rule that applies to your business and to your use of the Agent.
• Keeping your own copies of records that matter to you and undoing or correcting the Agent's mistakes.
• The use of the Agent by the people you allow to use your company's ZarpOS account.

The Agent does not have its own judgment, intent, or authority, and it is not your employee, agent, or advisor. Zarp Studio does not review, approve, or supervise what the Agent does for you.

If you allow it, the Agent can use your ZarpOS access to read and act in your company's ZarpOS account, with the same permissions you have. By checking the box that allows it, you authorize the Agent to act as you, inside those permissions, until you revoke the authorization. You understand and agree that:

• The Agent can see and change anything you can see and change, so its mistakes can affect real records, customers, messages, documents, and money.
• Some actions, such as sending messages to customers, deleting records, moving or charging money, and administrative changes, wait for your approval. Other actions, such as reading and ordinary edits, may run without asking. We decide which actions require approval and may change it at any time.
• Content the Agent reads, such as emails, web pages, documents, images, or screens, can contain hidden or misleading instructions. The Agent may follow them despite our safeguards. Approvals and safeguards reduce this risk but do not remove it.
• Every action the Agent takes is recorded in the company's activity log as done by the ZarpOS Agent on your behalf, and the company's owners and administrators can see it.
• You can revoke the authorization at any time in the Agent settings. Revoking stops new actions, but it does not undo actions already taken.
• We may limit the Agent's permissions, require approval for more actions, or turn off delegated access for any user or company at any time.

When you speak to the Agent, turn on your camera, or share your screen, the audio, images, and frames you send are processed by us and our providers to transcribe, understand, and answer you. Images and frames you send are stored with the conversation for as long as the conversation is kept.

• Consent of other people. Some laws, including Florida law, require the consent of every person before a conversation is recorded or intercepted. You are responsible for obtaining every notice and consent the law requires from anyone whose voice, face, or information is captured when you use voice, camera, or screen sharing, and for not using these features where they are not allowed.
• Do not share passwords, full payment card numbers, government ID numbers, health information, or other sensitive information through voice, camera, or screen sharing, unless it is necessary and lawful for you to do so.
• Close or hide windows, tabs, and documents you do not want the Agent to see before you share your screen. Everything visible in a shared frame is sent.
• Spoken replies are synthetic voices generated by AI. They are not the voice of a real person and may mispronounce or misread content.

• Output from the Agent (text, voice, summaries, drafts, analyses, and suggested actions) is generated by AI. It can be inaccurate, incomplete, outdated, biased, or offensive, and it can look confident when it is wrong.
• Output is not legal, tax, accounting, financial, medical, engineering, safety, or other professional advice. Get advice from a qualified professional before acting on anything that matters.
• Output may be similar or identical to output produced for other users. We do not promise that output is unique, original, or free from third-party rights, and you are responsible for checking it before you publish or use it.
• As between you and us, and to the extent we have any rights in it, you may use the output for your company's business, subject to this EULA, the Terms of Service, and the law.

You may not use the Agent, directly or through anyone else, to:

• Break any law or regulation, or anyone's privacy, publicity, consumer, intellectual property, or other rights.
• Send spam, unsolicited or deceptive messages, or messages without the consent, disclosures, and opt-outs the law requires.
• Harass, threaten, defraud, impersonate, or mislead anyone, including by presenting the Agent's output or synthetic voice as a real person when that would deceive someone.
• Make or support decisions with legal or similarly significant effects about individuals, such as decisions about employment, credit, housing, insurance, education, or access to essential services, without meaningful human review and the notices the law requires.
• Identify or track people from their faces, voices, or other biometric data, or monitor people covertly.
• Operate anything where a failure could lead to death, injury, or serious physical, environmental, or financial harm.
• Create or share content that sexualizes minors, promotes violence or self-harm, or helps create weapons, malware, or other means of serious harm.
• Process data of people in the European Union, the United Kingdom, or other places whose laws require terms we have not agreed to with you in writing.
• Violate the usage policies of our model providers, which we may enforce on their behalf.

We may refuse, block, or remove any request or output, and suspend the Agent, when we believe it breaks this EULA or creates a risk for anyone.

The Agent uses artificial intelligence models and services from third parties, such as Google and Amazon Web Services, and may use others in the future. They process your content to provide the Agent under their own terms and policies. We choose and change these providers at our discretion. We are not responsible for their acts, omissions, outages, or changes, and the Agent may stop working when a provider limits or ends its service.

To provide, secure, support, audit, and improve the Agent, we and our service providers collect, store, and process your instructions, the Agent's replies, transcripts of what you say, images and frames you send, the actions it proposes and takes, your approvals and rejections, usage and costs, and technical data, as described in our Privacy Policy.

• Our team may review conversations, records, and actions to investigate abuse, security incidents, errors, or support requests, or when the law requires it.
• We use automated safeguards that scan requests, content, and output, and that may block, flag, or log them.
• Conversations and their images are kept for the retention period set for your company and are then deleted, unless we must keep them longer to comply with the law, resolve disputes, or enforce our agreements.
• We do not sell your personal information.

The Agent acts with your access, so anyone who uses your account can use the Agent as you. Keep your credentials and devices secure, sign out of shared devices, and tell us right away at [email protected] if you believe your account or the Agent has been used without your permission. We are not liable for loss caused by use of your account or the Agent that you did not prevent or report.

The Agent may use credits, usage limits, or fees that we set and may change. Usage counts against your company's credits or limits whether or not the output was useful or correct, and usage already consumed is not refundable. Free or included access may end or change at any time.

To the maximum extent permitted by applicable law, the Agent and all output are provided "as is", "as available", and "with all faults". Zarp Studio LLC and its licensors and providers disclaim all warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, quiet enjoyment, and any warranty arising from course of dealing or usage of trade.

We do not warrant that the Agent will be accurate, complete, reliable, secure, uninterrupted, or free of errors or harmful components; that it will follow your instructions or our safeguards; that it will not take an unintended action; or that any data, action, or result can be recovered or reversed.

To the maximum extent permitted by applicable law, Zarp Studio LLC and its owners, members, managers, employees, contractors, licensors, and providers will not be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages, or for any loss of profits, revenue, customers, data, goodwill, or business opportunities, or for any messages sent, records changed or deleted, payments made or not made, or other actions taken or not taken by the Agent, however caused and under any theory of liability, even if we were told they were possible.

To the maximum extent permitted by applicable law, our total liability for all claims related to the Agent or this EULA, combined, will not exceed the lesser of (a) the amounts you paid to Zarp Studio LLC specifically for the Agent in the 3 months before the event giving rise to the claim, or (b) US$50. If you paid nothing specifically for the Agent, our total liability for it is zero.

You agree that these limits are an essential part of the bargain, that we would not offer the Agent without them, and that they apply even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, so some of them may not apply to you.

To the maximum extent permitted by applicable law, you will defend, indemnify, and hold harmless Zarp Studio LLCand its owners, members, managers, employees, contractors, licensors, and providers from and against all claims, losses, damages, fines, penalties, costs, and expenses, including reasonable attorneys' fees, arising from or related to: your use of the Agent; the content you give it; its output and the actions it takes with your access, including actions you approved; the voices, images, and information of other people captured when you use voice, camera, or screen sharing; and your breach of this EULA, the Terms of Service, or any law or third-party right.

We may suspend or end your access to the Agent, or to delegated access, at any time, with or without notice, including when we suspect misuse, a security risk, or a breach of this EULA, or when a provider limits its service. You may stop using the Agent and revoke delegated access at any time. Sections that by their nature should survive, including those on responsibility, output, data, warranties, liability, indemnification, and disputes, survive the end of this EULA.

Any dispute arising from or related to the Agent or this EULA is governed by the governing law, informal-resolution, binding individual arbitration, class action and jury trial waiver, venue, and time-limit provisions of the Terms of Service, which are incorporated into this EULA by reference.

We may update this EULA at any time. The version and the date of the last change are shown on this page. When a change is material, we may ask you to accept the new version before you continue to use the Agent or delegated access. Otherwise, using the Agent after the change takes effect means you accept the new version.

• This EULA, together with the Terms of Service, the Privacy Policy, and your Orders, is the entire agreement between you and us about the Agent.
• If any provision is found unenforceable, it will be enforced to the maximum extent permitted, and the rest of this EULA remains in effect.
• Our failure or delay in enforcing a provision is not a waiver of our right to do so later.
• You will comply with U.S. export control and sanctions laws, and you will not use the Agent in, or for people in, embargoed countries or on restricted-party lists.
• You may not transfer this EULA without our written consent. We may transfer it freely.
• This EULA is written in English. Any translation is for convenience only, and the English version governs.
